What is an escrow agent?+

An escrow agent is a trusted third party to whom the parties to a transaction entrust the funds (the price, an earn-out, a guarantee) until the agreed conditions are met. At Fidens, this role is performed by a lawyer, who holds the sums on a dedicated CARPA account and releases them only on the agreed conditions.

Why entrust the escrow to a lawyer rather than another third party?+

A lawyer is bound by strict professional ethics and professional liability. The funds pass through the CARPA (the French bar's fund-handling body), which guarantees ring-fencing, traceability and control of movements under the supervision of the Bar — a level of security few third parties can offer.

When are the escrowed funds released?+

The funds are released once the conditions set out in the escrow agreement are met: final signing, satisfaction of conditions precedent, expiry of an opposition period, or any other event agreed between the parties.

How much does an escrow with Fidens cost?+

Fees are based on the transaction price, on a regressive scale, with a flat fee of €1,800 excl. tax up to €180,000. An online simulator gives you an instant estimate based on the amount of your transaction.

What happens in the event of a dispute?+

With an escrow account, the funds remain locked until the parties reach agreement. The parties have a dedicated space to settle the disagreement amicably; if the deadlock persists, the evidence file can be passed to a legal partner. Fidens does not rule on the dispute: the funds are never released before both parties agree or the competent authority decides.

What is the difference between escrow and séquestre?+

None! 'Escrow' is simply the English word for 'séquestre'. An escrow account and a séquestre account are the same thing: a third-party account that secures the funds until the conditions of the transaction are met.
